These terms govern your use of the Fairlane Accounting website at fairlaneaccounting.com and the Fairlane client financial platform (the "Platform"). The Platform lets our clients connect their QuickBooks Online company and view financial reporting, key performance indicators (KPIs), and AI-generated analysis of their business. By using either the website or the Platform, you agree to these terms.
Fairlane Accounting ("Fairlane," "we," "us") is a Florida company providing outsourced bookkeeping, accounting, and financial planning and analysis services.
These terms are not the engagement. The accounting services we provide are governed by the separate engagement letter or services agreement signed between Fairlane and the client. Where these terms and that agreement conflict, the signed agreement controls.
Who may use the Platform
The Platform is available by invitation only, to:
- Fairlane personnel, and
- people authorized by a Fairlane client to view that client's financial information.
Accounts cannot be self-registered. Access is granted by Fairlane at the direction of the client and may be changed or withdrawn by the client or by Fairlane.
You must be at least 18 years old and authorized by your organization to access its financial information.
Your account
You are responsible for your account and for anything done through it. That means:
- Keep your sign-in method secure. Do not share access with anyone else.
- Tell us promptly if you believe your account has been used without your authorization, or if someone at your organization should no longer have access.
- Use accurate information when your account is set up.
We may suspend or deactivate an account at any time, including at the request of the client whose data it can access.
Acceptable use
Do not:
- attempt to access data belonging to a company you have not been granted access to
- probe, scan, or test the security of the Platform, or attempt to bypass any access control
- use automated means to extract data at scale, beyond the Platform's own export features
- interfere with or disrupt the Platform or the infrastructure it runs on
- use the Platform to break any law, or to infringe anyone's rights
- resell or redistribute access to the Platform
Connected systems
Where a client authorizes it, the Platform connects to third-party systems such as QuickBooks Online to retrieve financial data. By authorizing a connection, you confirm you have the right to grant Fairlane access to that data.
Those third-party systems are operated by their own providers under their own terms. We are not responsible for their availability, accuracy, or conduct. If a provider changes or discontinues its service, our ability to retrieve data from it may be affected.
A connection may be disconnected at any time, by you within the third-party system, or by asking us.
AI-generated analysis
The Platform uses artificial intelligence to generate written analysis, commentary, and insights from a client's financial data and KPIs ("AI Analysis"). Because AI Analysis is produced automatically:
- it can be incomplete, out of date, or wrong, and may describe trends or causes that are not accurate
- unless we tell you otherwise, it has not been reviewed by a Fairlane accountant before it is shown to you
- it is a starting point for discussion, not a conclusion, and should be checked against the underlying reports before you act on it
AI Analysis is subject to the "Accuracy and professional reliance" section below, in the same way as all other Platform reporting. We do not use client financial data to train AI models; see our Privacy Policy for how data is handled when AI Analysis is generated.
Your data
Financial and business data provided to, or retrieved by, the Platform remains the property of the client it belongs to. We do not claim ownership of it.
You grant us permission to store, process, and display that data as needed to provide our services. How we handle it is described in our Privacy Policy.
On request, we will provide a copy of a client's data in a usable format, and will delete it subject to the retention obligations described in the Privacy Policy.
Accuracy and professional reliance
We work to make the Platform's reporting accurate, and we reconcile the data it holds against its source systems. Even so:
- The Platform presents data derived from source systems maintained by the client and by third parties. Its accuracy depends on the accuracy and completeness of those sources.
- KPIs are calculated from source data using definitions and formulas we select. The same metric may be calculated differently elsewhere, including by your lenders, investors, or other advisors.
- Information in the Platform, including AI Analysis, is for management reporting. It is not an audit, review, or compilation, and it is not an opinion on financial statements.
- Nothing in the Platform is tax, legal, or investment advice.
- Figures may change as accounting periods are closed, adjusted, or restated.
Significant business decisions should not rest on Platform reporting alone without discussing it with us or with your own advisors.
Availability
We aim to keep the Platform available, but we do not guarantee uninterrupted access. We may suspend access for maintenance, upgrades, or security reasons. We may add, change, or remove features.
Fees
Access to the Platform is included in the services covered by a client's engagement with Fairlane. Fees for those services are set out in the engagement letter, not here.
Intellectual property
The Platform, including its software, design, and documentation, belongs to Fairlane. These terms grant you permission to use it, not any ownership of it. The methods, templates, and chart-of-accounts structures we use to deliver our services remain ours.
Disclaimer of warranties
Except as stated in a signed engagement letter, the Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability
To the fullest extent the law allows, Fairlane is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Platform.
Our total liability arising from the Platform is limited to the fees paid to Fairlane for the services in the twelve months before the claim arose. Where a signed engagement letter sets a different limit, that one applies.
Nothing here limits liability that cannot be limited by law.
Termination
You may stop using the Platform at any time. We may suspend or end access if these terms are breached, if the underlying engagement ends, or at the client's request.
When access ends, data handling follows the Privacy Policy and the engagement letter.
Changes to these terms
We may update these terms. We will change the "Last updated" date, and for material changes we will notify clients directly. Continuing to use the Platform after a change means you accept it.
Governing law
These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Disputes will be brought in the state or federal courts located in Palm Beach County, Florida, and both parties consent to that jurisdiction.
